Terms & Conditions

1. Definitions
1.1 “Company” means Lion & Leinster Property & Building Services (Company No 11001237, VAT No 426617491).
1.2 “Client” means the person or entity who orders services from the Company.
1.3 “Services” means the building, refurbishment, conversion, construction, structural engineering, architectural and other services provided by the Company.
1.4 “Site” means the location where the Services are performed.
1.5 “Agreement” means the contract between the Company and the Client incorporating these Terms & Conditions.

2. Scope of Services
2.1 The Company shall perform the Services as set out in the written quotation or proposal provided to the Client.
2.2 Any variation to the Services must be agreed in writing by both the Company and the Client and may incur additional charges.

3. Client Obligations
3.1 The Client shall provide the Company with safe and reasonable access to the Site, utilities, and a suitable working environment.
3.2 The Client shall ensure that all necessary permits, consents and approvals (planning, building regulation, party-wall, etc.) are in place before work begins, unless otherwise agreed.
3.3 The Client shall respond in a timely manner to any requests from the Company (e.g., decisions, selections of materials) so as not to delay progress.

4. Price & Payment
4.1 The price for the Services shall be as stated in the quotation (or as adjusted by agreed variations).
4.2 Payment terms: [e.g., 30% deposit, 50% on milestone, 20% on completion] (or as agreed).
4.3 If the Client fails to pay any sum when due, the Company may suspend the Services and/or charge interest on overdue amounts.

5. Time for Completion
5.1 The Company will endeavour to complete the Services by the date(s) stated, but time is not of the essence unless agreed otherwise in writing.
5.2 The Company shall not be liable for delays caused by events beyond its control (force majeure, client decisions, supply chain issues, etc.).

6. Quality & Standards
6.1 The Company shall perform the Services with reasonable care and skill, and in accordance with applicable laws, regulations and building standards.
6.2 The Client must inspect the work upon completion and notify the Company of any defects within [e.g., 7 days] of completion.

7. Warranties & Guarantees
7.1 The Company offers the guarantee set out in the quotation (e.g., through the Federation of Master Builders’s “FMB Guarantee”) or its insurance cover for completed work.
7.2 This warranty does not cover damage caused by the Client’s neglect, misuse, alteration or by normal wear and tear after completion.

8. Liability
8.1 The Company’s liability for losses shall be limited to the price of the Services.
8.2 The Company shall not be liable for indirect or consequential losses (e.g., loss of profits, business interruption).
8.3 Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, or any other liability which cannot be excluded under applicable law.

9. Termination
9.1 Either party may terminate the Agreement if the other party commits a material breach and fails to remedy it within [e.g., 14 days] of written notice.
9.2 On termination the Client shall pay for all Services performed up to the termination date, plus any costs incurred by the Company.

10. Intellectual Property
10.1 The Company retains copyright and all other intellectual property rights in any design drawings, documentation or materials provided by it.
10.2 The Client may use such documents only for the purpose of the Services and shall not copy, alter or use them for other purposes without prior written consent.

11. Variation & Changes
11.1 Any variation to the Services or these Terms must be agreed in writing (email suffices) and may incur additional charges and/or extend the completion period.

12. Site Conditions & Risk
12.1 The Client acknowledges that the Site may contain hidden or unforeseen conditions (e.g., structural defects, asbestos, uncovering subsurface services) and the Company shall be entitled to adjust price/time accordingly.
12.2 Risk and responsibility for the Site passes to the Client upon completion and hand-over.

13. Insurance
13.1 The Company shall maintain adequate public liability and professional indemnity insurance for the Services.
13.2 The Client shall ensure appropriate insurance cover for the Site and any existing structures until hand-over.

14. Data Protection
14.1 Both parties shall comply with applicable data protection laws (including the UK GDPR) when handling personal data arising out of the Services.
14.2 The Company will collect and process the Client’s personal data in accordance with its Privacy Policy (see below).

15. Governing Law & Jurisdiction
15.1 This Agreement shall be governed by the laws of England & Wales.
15.2 The parties submit to the exclusive jurisdiction of the courts of England & Wales.

16. Entire Agreement
16.1 These Terms, together with the quotation/proposal and any written variation, constitute the entire agreement between the parties.
16.2 Each party acknowledges that no representation, warranty or term has been made or given except as expressly set out herein.
